Abode Parent to buy ADT for $10.00 a share in cash, backed by Apollo financing
Funds managed by affiliates of Apollo Global Management committed preferred equity and debt for the ADT buyout. ADT can solicit rival bids until November 29, 2026, and its exit fee is lower during that period.
Abode Parent, a Delaware limited liability company, has agreed to buy ADT for $10.00 a share in cash, and closing does not depend on the buyer raising the money. ADT reported the merger agreement under Item 1.01 of a Form 8-K filed October 29, 2026. Under the agreement, Abode Merger Sub, a wholly owned subsidiary of Abode Parent, would merge into ADT.
SEC records place ADT in the industry Services-Detective, Guard & Armored Car Services. Its shares trade on the NYSE under the ticker ADT, and its business address is in Boca Raton. DFX's records do not identify who controls Abode Parent.
An affiliate of Abode Parent has committed the equity. Funds managed by affiliates of Apollo Global Management have committed debt and preferred equity, and the preferred equity is to be issued by Abode Superior Holdings, an indirect parent of the buyer. The merger is not conditioned on Abode Parent obtaining any of that financing.
Abode Parent would owe ADT a $473 million termination fee in certain circumstances. ADT owes $227 million when it terminates to sign a Superior Proposal. That fee falls to $114 million when the termination comes during the go-shop period, or during the extension for certain bidders. The go-shop runs until midnight New York City time on November 29, 2026, and during it ADT is permitted to solicit alternative proposals.
Closing requires approval from ADT's stockholders and the expiration or early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976. Either party has the right to terminate if the merger has not closed by July 29, 2027.
What to watch
The go-shop period ends at midnight New York City time on November 29, 2026. ADT can keep talking with certain third parties until and including December 8, 2026. After that, the deal depends on the stockholder vote and the Hart-Scott-Rodino waiting period.
