A national record of lower middle market ownership transitions, the verified independent sponsors that have bought companies like them, and the capital observed financing those deals. Facts, inferences and estimates are labelled as such, with the source and the date, on every row.

Market activity

Ownership and acquisition activity

What changed hands, what probably did, and what moved without a known cause, on the public record of privately held employers. Four classes that are never conflated, and on every row: what changed, the buyer if one is known, whether the line is a fact or an inference, the rule and its measured precision when it is inferred, the source, and when it was last verified.

15,905 rows of activity across the first three classes; 3,532 unresolved departures are listed only when asked for. 1,159 rows name a buyer. The full event tape, every source and every event type, is at Event tape.

Confirmed transaction

Public transaction evidence identifies the ownership transaction, and usually the buyer. The source URL is on the row.

Likely ownership change

Structural observations on the filing strongly imply ownership changed (the plan sponsor of record became a holding or acquisition vehicle), but no announcement has been found. The rule and its measured precision are on the row.

Company transition

A meaningful company or plan transition occurred: a final filing then absence from the record, a final filing whose next year is not yet published, a sponsor rename or EIN change. The economic cause is unresolved and is not asserted.

Behind the filter

3,532 companies left the observable Form 5500 record with no final filing and no successor EIN. Absence is a fact about the record; the cause is not observed, and a late filer can reappear in a later edition. These rows are never counted as transactions and never appear in a sponsor history. Show unresolved departures.
