Affiliate Program Terms

You may apply to the Program on our site, or we may invite you. We review every application and may accept or decline anyone and may end the Program or your participation at any time. You must be at least 18, give accurate details, and keep them current. You are an independent contractor, not our employee, agent, partner, or joint venturer, and you cannot make commitments, offer prices or discounts, or sign anything for DFX.

We give you one or more affiliate links. When someone clicks your link, a first-party cookie records the click for the attribution window shown in your portal (30 days by default). A purchase is credited to you if it is made within that window and your click is the last eligible affiliate click before the purchase or before the customer's account was created. Our records decide attribution, and only one affiliate is credited for a customer.

A purchase is not credited if it was not made through your link, if the customer was already a paying customer before your click, if it is your own purchase or that of a business you own or control, or if it was obtained in breach of these Affiliate Terms.

Your commission rate is the one shown in your affiliate portal for each kind of purchase. Unless your portal shows otherwise:

• +One-time purchases (such as reports): 50% of the qualifying amount.
• +Memberships (subscriptions): 50% of the qualifying amount of each membership payment during the customer's first six months of paid membership, counted from the start of their first paid billing period. A yearly membership paid in that window counts once.

"Qualifying amount" means what the customer actually paid, excluding taxes, and after any discount, credit, or refund. Free trials earn nothing until they convert to a paid membership. Payment processing fees are our cost and are not deducted from your commission.

We may change rates or the commission structure for future purchases on at least fourteen (14) days' notice. Changes do not reduce commission already earned.

Each commission is held for 30 days after the payment it is based on, so refunds and disputes can settle. After the hold, an approved commission becomes payable. If a payment is refunded, charged back, or disputed, the related commission is reversed, and if it was already paid we may deduct it from future commissions or ask you to repay it.

We pay approved commissions in U.S. dollars, by the payout method we agree with you, after you give us the payee, tax (such as a Form W-9 or W-8), and payment details we need. We may hold payment until those details are complete or below a minimum shown in your portal. You are responsible for your own taxes, and we may withhold or report payments as the law requires.

You must:

• +clearly disclose, close to any recommendation, that you may earn a commission, as the Federal Trade Commission's Endorsement Guides require;
• +describe DFX accurately and only as it is described on our own site, without guarantees of results, earnings claims, or invented features, prices, or discounts;
• +follow CAN-SPAM, the TCPA, and every other anti-spam, telemarketing, texting, and privacy law, and the rules of each platform you use; and
• +comply with our brand guidance and stop any promotion we ask you to stop.

You must not: send unsolicited bulk email or messages containing your link; bid on, or buy ads for, DFX, DFX Intelligence, or confusingly similar terms, or use them in domain names or social handles; impersonate DFX or imply you are DFX; use cookie stuffing, forced clicks, incentivized clicks, or misleading redirects; offer cash back or rebates from your commission; refer yourself, your own business, or accounts you control; or use DFX data you obtained through a subscription in your promotion beyond brief, attributed excerpts allowed by our Terms of Service.

If you operate a co-branded partner network edition of DFX Intelligence, these Affiliate Terms apply to the revenue share for that edition, together with any written network agreement between us, which controls if they conflict. You may add community rules or eligibility requirements for your members only with our written approval, and they will be shown to members before they accept them. You are responsible for content you add to your edition and for what you tell your members about DFX. You receive information about your members' accounts only as our Privacy Policy describes, and you may use it only to run your network and the Program.

The portal shows you clicks, sign-ups, purchases, and commissions attributed to you. It does not show customers' names, searches, questions, or uploads, and you must not try to identify customers from it or contact them using it. Information we collect about you is handled under our Privacy Policy.

Either of us may end your participation at any time by notice. On ending, stop using your links and our marks. Commission already approved and payable is paid on the normal schedule unless you ended in breach of these Affiliate Terms, in which case unpaid commission is forfeited. Purchases after the end date earn nothing.

The disclaimers, limitation of liability, dispute resolution, and general sections of our Terms of Service apply to the Program, except that our total liability to you under these Affiliate Terms will not exceed the commission paid or payable to you in the six (6) months before the claim. You will defend and indemnify DFX against claims arising from your promotion of DFX or breach of these Affiliate Terms. We may update these Affiliate Terms on notice as described in our Terms of Service; continuing to promote DFX after a change takes effect means you accept it.
